Service Agreements
The County of Sonoma requires contractors and vendors to maintain insurance appropriate to the risk of the services being provided.
Template 5 is the County’s single, standardized insurance template for all service agreements. This includes services provided by individuals or organizations, including corporations, LLCs, partnerships, and sole proprietors.
The limits in Template 5 reflect typical (“average”) risk exposures. Contracts involving higher-risk activities may require higher insurance limits. Use Template 5 for:
- General Services
(e.g., facilitators, trainers, interpreters, outreach services, event support) - Professional Services
(e.g., consultants, attorneys, accountants, engineers, counselors, analysts) - Technology Services
(e.g., IT support, SaaS vendors, developers, system integrators, cybersecurity providers) - Other Service Providers
Performing analytical, advisory, instructional, technical, or administrative services
A Special Note About Conditional Coverages (Based on Scope)
The following coverages are required when applicable to the services being performed. If you are unsure whether a conditional coverage applies to your agreement, departments should Contact Risk Management with their email template download for assistance.
- Professional Liability / Errors and Omissions
- Required for services involving professional judgment or expertise, such as evaluation, design, analysis, consultation, or other specialized work, where mistakes or failures in performance could create financial loss.
- (e.g., Health Care Professionals, Counselors, Architects, Engineers, Surveyors, Accountants, Attorneys, Biological Consultants, Technology Professionals)

- Cyber Liability – Network Security & Privacy Liability
- Required when contractors access, store, process, or transmit County data, including personally identifiable information (PII), protected health information (PHI), or payment card information (PCI).
- This requirement applies regardless of format, including both electronic data and physical records (e.g., paper files, printed reports, or handwritten information).
- Technology Errors and Omissions
- Required for technology-related services such as database administration, software development, SaaS/cloud services, hosting, IT support, system design or integration, cybersecurity, or any technology service where errors could cause financial loss.
- Sexual Abuse or Molestation (SAM) Liability
- Required when services involve contact with: Minors, Dependent adults, Vulnerable populations.
- This includes situations involving supervision, instruction, care, or access, where individuals may be in the contractor’s care, custody, or control.
